Investment Registration Invest with Fifo Capital

These terms and conditions constitute legal, valid and binding obligations of you (“You”).

You agree that you will:
(a) treat as confidential all information provided or otherwise made available to you by Fifo Capital NZ that relates to any investment opportunity (IM Transaction) and is not otherwise publicly available through no fault of You (Confidential Information), and only use such Confidential Information in connection with investing in the IM Transaction (the Purpose);
(b) take all reasonable steps to ensure that Confidential Information is protected from unauthorised disclosure and access;
(c) not disclose or provide access to Confidential Information to any other person, except to any accounting, legal or technical professional for the purpose of providing professional services to the You in relation to the Purpose, but only after first obtaining written consent to do so from Fifo Capital NZ;
(d) not to use Confidential Information for any purpose except investing in the IM Transaction with Fifo Capital NZ;
(e) destroy or return to Fifo Capital NZ Confidential Information at Fifo Capital NZ’s request; and
(f) consult with Fifo Capital NZ before disclosing or providing access to any Confidential Information to any third party where it is required by law to disclose or provide access to that information.

You acknowledge that a breach of these terms and conditions may result in irreparable damage for which monetary damages would not be the sole remedy, and You agree that Fifo Capital NZ may apply for injunctive relief against such a breach or threatened breach in addition to other available remedies.

The obligations in these terms and conditions continue indefinitely (or until such time as notified by Fifo Capital NZ in writing).
